Vendor Terms

These Vendor Terms govern the relationship between SaveMyPay ("we", "us", "platform") and businesses ("Vendor", "you") that list goods or services on savemypay.xyz. By signing up as a vendor or onboarding a deal, you agree to these Terms.
1. Eligibility
To be a vendor on SaveMyPay, you must:
- Be a legally registered business in India.
- Hold a valid GSTIN where applicable.
- Have all licenses and authorisations required for the goods or services you offer.
- Provide accurate KYC, business registration, and authorised signatory information during onboarding.
2. Listing and Deal Approval
All deals on SaveMyPay are curated. We reserve the right to accept, modify, or reject any vendor listing. Approved deals must:
- Reflect accurate, non-misleading pricing and savings claims.
- Comply with applicable Indian advertising standards and consumer law.
- Disclose all conditions, exclusions, delivery timelines, and warranty terms upfront.
- Not infringe any third-party intellectual property.
3. Vendor Responsibilities
You are solely responsible for:
- Fulfilment of all deals — delivery, installation, service, and quality.
- Compliance with all applicable laws including GST, consumer protection, and product-specific regulations.
- After-sales service, warranty, and customer support for products you sell.
- Maintaining adequate inventory or capacity to fulfil group orders confirmed via the Platform.
- Issuing GST-compliant invoices to end customers.
SaveMyPay is a technology platform connecting you with buyers. We are not a party to the sale contract between you and the customer.
4. Commission and Fees
- SaveMyPay charges a platform commission of 10% on the gross value of every group deal closed via the Platform, unless otherwise agreed in a written deal sheet.
- Commission is payable on every confirmed sale.
- Specific deal economics are agreed in writing per campaign before listing.
5. Payment Settlement
Customer payments are processed through our payment partners (Razorpay or other licensed gateways). After deducting platform commission, payment gateway charges, and any agreed adjustments, settlement to your registered bank account happens within 7 business days of deal closure and customer confirmation, subject to the gateway's standard timelines.
6. Refunds, Returns, Disputes
- You agree to honour your published refund and return policy as disclosed at the time of the deal.
- For any customer dispute, you are the primary party responsible for resolution.
- SaveMyPay may, at its discretion, facilitate communication but is not the adjudicator of vendor–customer disputes.
- Chargebacks and refunds will be deducted from your settlement amount.
7. Quality and Compliance
You warrant that all goods and services delivered through the Platform are:
- Of merchantable quality, fit for purpose, and as described.
- Compliant with applicable safety, labelling, and warranty regulations.
- Free from defects beyond reasonable industry norms.
Persistent quality issues or customer complaints may result in suspension or termination from the Platform.
8. Brand Use
You grant SaveMyPay a limited, non-exclusive licence to use your business name, logo, and product images on the Platform and in promotional materials related to deals you've listed. You may use the SaveMyPay name only with prior written consent.
9. Confidentiality
Customer data shared with you is strictly for fulfilling the deal. You agree not to:
- Use customer data for outbound marketing without explicit user consent.
- Share customer data with third parties.
- Retain customer data longer than necessary to complete fulfilment and meet legal obligations.
Breach of confidentiality is grounds for immediate termination.
10. Termination
Either party may terminate the relationship with 30 days' written notice. SaveMyPay may terminate immediately for:
- Breach of these Terms.
- Repeated quality or compliance issues.
- Misrepresentation or fraud.
- Failure to meet fulfilment obligations.
Open deals at the time of termination must be honoured by the vendor.
11. Limitation of Liability
SaveMyPay's total liability to a vendor for any claim is limited to the commission earned from that vendor in the preceding 6 months, or ₹50,000, whichever is lower. We are not liable for lost profits, indirect, or consequential damages.
12. Indemnity
You indemnify SaveMyPay against any claim, damage, or expense arising from:
- Defective products or services you supply.
- Breach of consumer law, IP rights, or any other regulation.
- Misrepresentation in your listings or deal terms.
13. Dispute Resolution and Jurisdiction
These Terms are governed by Indian law. Disputes will first be attempted via good-faith discussion. Unresolved disputes are subject to the exclusive jurisdiction of courts in Hyderabad, Telangana, India.
14. Modifications
We may update these Terms with 15 days' notice via email. Continued use of the Platform after that period means you accept the updated Terms.
